Terms and Conditions

1. Acceptance of Terms

By purchasing, downloading, installing, or using VUML ("the Software"), you agree to be bound by these terms and conditions ("Terms"). If you do not agree, do not use the Software.

2. Licence Grant

Upon purchase, you are granted a non-exclusive, non-transferable, perpetual licence to install and use VUML on any Mac computers that you own or control, for personal or commercial use. This licence is for a single user. If multiple people in your organisation need to use VUML, each must purchase a separate licence.

3. Purchase and Payment

VUML is available as a one-time purchase at the price listed on vuml.app or on the Mac App Store. Payment is processed by Paddle.com (for direct purchases) or Apple Inc. (for Mac App Store purchases). By completing a purchase you agree to the payment processor's terms of service.

All prices are listed in US dollars unless otherwise stated. Applicable taxes are calculated and collected by the payment processor based on your location.

4. Trial Period

The direct-download version of VUML includes a 14-day free trial. During the trial all features are available without restriction. After the trial period expires, a valid licence key is required to continue using the Software.

5. Licence Keys

Direct-purchase licence keys are delivered by email after payment. You are responsible for keeping your licence key secure. Licence keys may not be shared, resold, or redistributed. If you believe your licence key has been compromised, contact support@vuml.app for a replacement.

6. Refunds

Refund terms are described in our Refund Policy. Mac App Store purchases are subject to Apple's refund policies.

7. Intellectual Property

VUML, including its source code, design, documentation, and branding, is the intellectual property of its developer. All rights not expressly granted in these Terms are reserved. You may not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.

Content you create using VUML -- diagrams, models, exported images -- belongs to you. VUML claims no ownership over your work.

8. Privacy

VUML does not collect personal data. Full details are set out in our Privacy Policy.

9. Disclaimer of Warranties

VUML is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The developer does not warrant that the Software will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the maximum extent permitted by applicable law, the developer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Software.

The developer's total liability for any claim arising from or related to these Terms shall not exceed the amount you paid for the Software.

11. Updates

The developer may release updates to VUML at its discretion. Updates are provided free of charge for the purchased major version. The developer is not obligated to provide updates, enhancements, or technical support, though it endeavours to do so.

12. Termination

Your licence is perpetual for the version purchased. The developer may terminate your licence if you breach these Terms. Upon termination, you must cease all use of the Software and destroy all copies.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

The developer may update these Terms from time to time. The revised version will be published on vuml.app/terms.html with an updated effective date. Continued use of the Software after changes constitutes acceptance of the revised Terms.
